Your access to and use of the ZingHub Service is contingent upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and any others who access or use the Service.
By accessing or using ZingHub, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.
ZingHub grants you a revocable, non-exclusive, non-transferable, and limited license to use the hosted online application and/or to download, install, and use any associated application strictly in accordance with the terms of this Agreement.
For ZingHub Services that include a free trial, the trial duration will be specified at sign-up. Following the trial, continued use of the Service requires advance payment. Failure to make payment will result in your account being frozen and inaccessible until payment is received. Accounts that remain frozen for an extended period may be queued for auto-cancellation.
If you upgrade from a free trial to a paid plan, your card will be charged immediately, and your billing cycle will commence on the upgrade date. For other plan level upgrades or downgrades, the new rate will apply starting from the next billing cycle.
All fees are exclusive of any taxes, levies, or duties imposed by taxing authorities. Where legally required, ZingHub will collect and remit such taxes on behalf of the taxing authority. Otherwise, you are responsible for the payment of all applicable taxes, levies, or duties.
The ZingHub Service allows you to create, upload, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are solely responsible for the Content you post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant ZingHub a worldwide, non-exclusive, royalty-free, transferable license (with the right to sub-license) to use, display, and distribute such Content on and through the Service, strictly within your account and in connection with the provision of the Service. You retain all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights.
You represent and warrant that:
(i) you own the Content or have the necessary rights to use it and to grant us the rights and license as provided in these Terms; and
(ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.
To maintain service integrity and ensure compliance with legal obligations, ZingHub reserves the right to review content stored on its platform under specific and limited circumstances. These circumstances include, but are not limited to, compliance with legal obligations, court orders, or law enforcement requests as mandated by applicable law.
ZingHub utilizes automated systems designed to detect illegal content, such as copyrighted material, images of child exploitation, or other content that violates our Terms of Service or the law. These systems help minimize the need for direct content review and facilitate quicker responses to compliance issues.
Users can flag content they deem inappropriate or illegal. Flags are reviewed by authorized personnel to determine appropriate action in accordance with our legal responsibilities and privacy policy.

Please be aware, however, that while we aim to accommodate reasonable privacy requests, no user can be exempt from legal requirements mandating content review under specific circumstances.
When legally permissible and possible, ZingHub will notify users if their content is being accessed for legal compliance purposes, unless such notification would impede the legal process or endanger public safety.
By using our platform, you agree to comply with all applicable laws and regulations and to not upload illegal content onto the platform. It is your responsibility to ensure your content adheres to all legal standards and our Terms of Service.

When you create an account with ZingHub, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may lead to the immediate termination of your account.
You are responsible for safeguarding the password used to access the Service and for all activities or actions under your password, whether with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any security breach or unauthorized use of your account.
You may not use as a username the name of another person or entity, a name that is not lawfully available for use, a name or trademark subject to any rights of another person or entity without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene. You expressly agree that we cannot be held liable for any loss or damage arising from any misrepresentations you make in this regard.
ZingHub reserves the right to expire inactive accounts. An "inactive account" is defined as an account that has not been logged into or used to access ZingHub for a continuous period of 3 months. Users will be notified in advance via the email associated with their account before any action is taken. ZingHub is not responsible for any loss of data or information resulting from the deactivation or removal of an inactive account.
You agree not to, and you will not permit others to: a) License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the ZingHub Application. b) Copy or use the Application for any purpose other than as permitted under the 'Grant of License' section above. c) Modify, create derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application. d) Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of ZingHub (Oppolis Software Limited) or its affiliates, partners, suppliers, or the licensors of the Application.
The ZingHub Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of ZingHub (Oppolis Software Limited) and its licensors.
The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ZingHub.
When you upload content, you grant ZingHub a worldwide, non-exclusive, royalty-free, transferable license (with the right to sub-license) to use, distribute, and display that Content in connection with the provision of the Service and otherwise in connection with the provision of the Service and ZingHub's business.
Our Service may contain links to third-party websites or services that are not owned or controlled by ZingHub.
ZingHub has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that ZingHub shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Your use of the ZingHub Services is at your sole risk. We provide these Services on an "as is" and "as available" basis. While we do not offer service-level agreements for most of our Services (except for Enterprise customers), we take the uptime and performance of our applications seriously.
We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. We will endeavor to contact the account owner before taking any action, except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
We implement numerous measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public internet.
You agree that ZingHub may process your data as described in our Privacy Policy and for no other purpose. Our personnel may access your data for the following reasons:
To assist you with support requests you make, with your express consent before accessing your account.
On rare occasions when an error occurs that stops an automated process midway. We receive automated alerts when such errors occur. When we can fix the issue and restart automated processing without reviewing any personal data, we do so.
In rare cases, we may need to review a minimum amount of personal data to resolve an issue. In these situations, our aim is to fix the root cause to prevent recurrence.
To safeguard ZingHub, we will review logs and metadata as part of our efforts to ensure the security of your data and the Services as a whole.
If necessary, we may also access accounts as part of an abuse report investigation.
We use third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.
Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") provided by you to ZingHub regarding the Application shall remain the sole and exclusive property of ZingHub (Oppolis Software Limited).
ZingHub shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or compensation to you.
ZingHub reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.
We are committed to supporting our Services, meaning we will continue to maintain security, privacy, and customer support for existing Services. From time to time, it may become technically impossible to continue a feature, or we may redesign parts of our Services for improvement, or decide to close new sign-ups for a product. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.
If we change the pricing structure for our products, we will provide at least 30 days' notice and notify you via the email address on record. We may also post a notice about changes on our websites or within the affected Services themselves.
ZingHub may, from time to time, provide enhancements or improvements to the features and functionality of the Application, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates").
Updates may modify or remove certain features and/or functionalities of the Application. You agree that ZingHub has no obligation to
(i) provide any Updates, or
(ii) continue to provide or enable any particular features and/or functionalities of the Application to you.
You further agree that all Updates will be
(i) deemed to constitute an integral part of the Application, and
(ii) subject to the terms and conditions of this Agreement.
We design our Services with care, drawing on our experience and feedback from customers. However, no service can please everyone, and we make no guarantees that our Services will meet your specific requirements or expectations.
We thoroughly test all features before release. As with any software, our Services may inevitably have some bugs. We track reported bugs and prioritize fixes, especially those related to security or privacy. Not all reported bugs will be fixed, and we do not guarantee completely error-free Services.
The ZingHub Application may display, include, or make available third-party content (including data, information, applications, and other products/services) or provide links to third-party websites or services ("Third-Party Services").
You acknowledge and agree that ZingHub shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof.
ZingHub does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services. Third-Party Services and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties’ terms and conditions.
You are solely responsible for properly canceling your ZingHub account. Within the Service, specific instructions are provided for cancellation. If you require assistance, you can contact our Support team.
Upon account cancellation, all of your Content will become immediately inaccessible from the Services. Within 30 days, all Content will be permanently deleted from active systems and logs. Within 60 days, all Content will be permanently deleted from our backups. Once permanently deleted, this information cannot be recovered.
If you cancel the Service before the end of your current paid-up period, your cancellation will take effect at the end of the current billing cycle, and you will not be charged again.
We reserve the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will be unable to access the account or any content within it. Termination will further result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your account.
We also reserve the right to refuse the use of the Services to anyone for any reason at any time. This clause is in place to allow us to address instances of nefarious activity, even if rare.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You agree to defend, indemnify, and hold harmless ZingHub (Oppolis Software Limited) and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:
a) Your use and access of the Service, whether by you or any person using your account and password;
b) A breach of these Terms; or
c) Content posted on the Service.
In no event shall ZingHub (Oppolis Software Limited), nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
(i) Your access to or use of or inability to access or use the Service;
(ii) Any conduct or content of any third party on the Service;
(iii) Any content obtained from the Service; and
(iv) Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Your use of the ZingHub Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
ZingHub (Oppolis Software Limited), its subsidiaries, affiliates, and its licensors do not warrant that:
a) The Service will function uninterrupted, securely, or be available at any particular time or location;
b) Any errors or defects will be corrected;
c) The Service is free of viruses or other harmful components; or
d) The results of using the Service will meet your requirements.
Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will ZingHub (Oppolis Software Limited) ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive, or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms, or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability, or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by ZingHub or any person for whom ZingHub is responsible, and even if ZingHub has been advised of the possibility of such loss or damage being incurred.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is deemed material, we will endeavor to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the service.
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

This Agreement constitutes the entire agreement between you and ZingHub (Oppolis Software Limited) regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between you and ZingHub.
You may be subject to additional terms and conditions that apply when you use or purchase other ZingHub services, which ZingHub will provide to you at the time of such use or purchase.
